ERGs.io is a platform that helps Employee Resource Group (ERG) leaders discover vendors, find programming ideas, plan events, and manage ERG communities. The Platform is provided free of charge to ERG leaders and program managers.

3. User Accounts

To access certain features, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information
• Notifying us immediately of any unauthorized access

4. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Upload or transmit harmful content, malware, or viruses
• Attempt to interfere with the Platform's security or availability
• Scrape, harvest, or collect data in an automated manner without authorization
• Impersonate another person or entity

5. Content and Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of ERGs.io or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express permission.

User-generated content remains the property of the user, but by posting it on the Platform, you grant ERGs.io a license to use, display, and distribute that content in connection with the Platform.

6. Vendor Directory and Listings

The Platform includes a vendor directory featuring third-party service providers. We vet vendors to the best of our ability, but:

• We do not guarantee the quality, safety, or suitability of any vendor
• Your relationship with vendors is directly between you and the vendor
• We are not responsible for disputes between users and vendors
• Vendor listings are for informational purposes and do not constitute endorsements

7. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

To the fullest extent permitted by law, ERGs.io disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, ERGs.io and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

9. Indemnification

You agree to indemnify and hold harmless ERGs.io, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

10. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Platform immediately ceases.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting an updated version on the Platform with a revised "Last updated" date.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
